Utmost Inc, a Wyoming corporation ("Company," "we," "us," or "our"), operates the OpinionGuard platform and website (collectively, the "Service"). This Privacy Policy explains how we collect, use, disclose, and safeguard information when you use our Service. By using the Service, you consent to the practices described in this policy.

1. Information We Collect

a. Information You Provide Directly

• Account Information: When you create an account, we collect your name, email address, phone number, business name, and billing information.
• Payment Information: We use Stripe to process payments. Your payment card details are collected and processed directly by Stripe and are not stored on our servers. Stripe's privacy policy governs the handling of your payment information.
• Customer Contact Data: You may upload contact information for your customers ("End User Data"), including names, phone numbers, and email addresses, for the purpose of sending review requests through the Service.
• Communications: When you contact us via email, SMS, or other channels, we collect the content of those communications.

b. Information Collected Automatically

• Usage Data: We collect information about how you interact with the Service, including pages visited, features used, actions taken, and timestamps.
• Device Information: We collect information about the device you use to access the Service, including device type, operating system, browser type, and IP address.
• Cookies and Tracking Technologies: We use cookies and similar technologies to maintain your session, remember your preferences, and analyze usage patterns. You can control cookies through your browser settings.

c. Information from Third-Party Integrations

When you connect third-party services (such as Google Business Profile, QuickBooks, ServiceTitan, Housecall Pro, Jobber, or other CRM platforms), we may receive information from those services as authorized by you, including business listing data, review data, and customer contact information.

• Provide, maintain, and improve the Service.
• Send review request messages to your End Users on your behalf via SMS and email.
• Process payments and manage your Subscription.
• Send you transactional communications (account confirmations, billing notices, service updates).
• Send you marketing communications (which you may opt out of at any time).
• Generate automated review responses on your behalf.
• Monitor and analyze usage trends to improve the Service.
• Detect, prevent, and address fraud, abuse, or technical issues.
• Comply with legal obligations.

3. How We Handle End User Data

We take the privacy of your customers' data very seriously. End User Data that you upload to the Service is:

• Used only to provide the Service to you. We send review requests and follow-ups to your End Users solely on your behalf and at your direction.
• Never sold. We do not sell End User Data to any third party, under any circumstances.
• Never shared for marketing. We do not use End User Data for our own marketing purposes or share it with other businesses.
• Stored securely. End User Data is encrypted in transit and at rest using industry-standard encryption protocols.
• Deleted upon request. You may request deletion of End User Data at any time by contacting us.

You are responsible for ensuring that you have the legal right to upload and use the End User Data you provide, including any required consent under applicable laws.

3a. SMS Opt-In Data Policy

We do not share, sell, rent, or distribute any phone numbers or SMS opt-in data collected through our Service with any third parties for their marketing or promotional purposes. Phone numbers collected for SMS communications are used exclusively to deliver review request messages and service-related communications on behalf of the business that uploaded the contact. SMS opt-in consent information is not shared with any third party, affiliate, or partner under any circumstances. This restriction applies to all data collected through our opt-in forms, customer uploads, and any other consent mechanism.

4. How We Share Information

We do not sell your personal information. We may share information in the following limited circumstances:

• Service Providers: We share information with third-party vendors who help us operate the Service, including cloud hosting providers, payment processors (Stripe), SMS/email delivery providers, and analytics tools. These providers are contractually obligated to protect your information and use it only to provide services to us.
• Third-Party Integrations: When you connect third-party services, information may be shared with those services as necessary to enable the integration.
• Legal Requirements: We may disclose information if required by law, regulation, legal process, or governmental request, or to protect the rights, property, or safety of Utmost Inc, our users, or the public.

5. Data Retention

We retain your account information for as long as your account is active and for a reasonable period thereafter to comply with legal obligations, resolve disputes, and enforce our agreements. End User Data is retained for as long as necessary to provide the Service to you and is deleted within 90 days of account termination unless otherwise required by law.

6. Data Security

We implement appropriate technical and organizational measures to protect your information against unauthorized access, alteration, disclosure, or destruction. These measures include encryption of data in transit (TLS/SSL) and at rest, access controls, regular security assessments, and secure development practices. However, no method of electronic transmission or storage is 100% secure, and we cannot guarantee absolute security.

7. Your Rights and Choices

a. Access and Correction

You may access and update your account information at any time through your OpinionGuard dashboard.

b. Deletion

You may request deletion of your account and associated data by contacting us at [email protected]. We will process your request within 30 days, subject to any legal retention requirements.

c. Opt-Out of Marketing

You may opt out of marketing communications at any time by clicking the "unsubscribe" link in any marketing email or by contacting us. Transactional communications related to your account and the Service are not subject to opt-out.

d. Cookies

You can control cookies through your browser settings. Disabling cookies may affect the functionality of the Service.

e. Do Not Track

We do not currently respond to "Do Not Track" browser signals. We will update this policy if our practices change.

8. SMS and Email Communications

By using the Service, you authorize us to send SMS messages and emails to your End Users on your behalf for the purpose of requesting reviews. All SMS messages comply with the Telephone Consumer Protection Act (TCPA) and applicable regulations. End Users may opt out of receiving messages at any time by replying STOP to any SMS message. We honor all opt-out requests immediately.

By providing your own phone number, you consent to receive transactional and service-related SMS messages from OpinionGuard. Standard message and data rates may apply. You may opt out at any time by replying STOP.

9. Children's Privacy

The Service is not directed to individuals under the age of 18. We do not knowingly collect personal information from children. If we become aware that we have collected information from a child under 18, we will take steps to delete that information promptly.

10. California Residents (CCPA)

If you are a California resident, you have additional rights under the California Consumer Privacy Act (CCPA), including the right to know what personal information we collect, the right to request deletion of your information, and the right to opt out of the sale of your information. 11. International Users

The Service is operated from the United States. If you access the Service from outside the United States, please be aware that your information may be transferred to, stored, and processed in the United States, where data protection laws may differ from those in your jurisdiction. By using the Service, you consent to such transfers.

We may update this Privacy Policy from time to time. We will notify you of material changes by email or through the Service at least 30 days before they take effect. Your continued use of the Service after the effective date of any changes constitutes acceptance of the updated Privacy Policy.
